What is Contract Validation?

Contract validation is the automated verification of contract terms, clauses, and obligations to confirm that an agreement meets legal, regulatory, or organizational requirements before execution.

Unlike structured document validation, where a value is checked against a known field, contract validation requires AI to:

  • Extract and interpret obligation language from unstructured prose
  • Identify conditional clauses
  • Recognize non-standard terms
  • Flag deviations from approved playbooks or regulatory standards

How contract validation works

Contract validation uses large language models (LLMs) and domain-specific language models (DSLMs), supported by natural language processing (NLP), to:

  • Locate and interpret clause types, including payment terms, liability caps, termination rights, and confidentiality obligations
  • Extract key values from contract language through contract data extraction, pulling structured information from unstructured prose
  • Compare extracted terms against predefined rules or a reference contract
