| Applicable Law: | This Agreement, and all claims or causes of action (whether in contract, tort or statute) that may be based upon, arise out of or relate to this Agreement, or the negotiation, execution or performance of this Agreement (including any claim or cause of action based upon, arising out of or related to any representation or warranty made in or in connection with this Agreement or as an inducement to enter into this Agreement), will be governed by, and enforced in accordance with, the internal laws of the state of Texas, including its statutes of limitations and repose, but without regard to any borrowing statute that would result in the application of the statute of limitations or repose of any other jurisdiction. Choice of law rules of any jurisdiction will not apply to any dispute under this Agreement. The United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to this Agreement. If Licensee/Client is a United States public sector agency or government institution located in the United States, the laws of the primary jurisdiction in which it is located will govern the Agreement and any disputes arising from it. For U.S. Federal Government users, this Agreement will be controlled and construed under the laws of the United States of America. U.S. Government End Users. The ABBYY Software and Documentation are deemed to be "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", pursuant to 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, All U.S. Government end users acquire the ABBYY and Documentation with only those rights set forth in this Agreement. Any provisions that are inconsistent with federal procurement regulations are not enforceable against “Commercial Items”. Unpublished rights reserved under the copyright laws of the United States. |
| Dispute resolution venue: | Any action arising out of or relating to this Agreement must be brought solely in the state courts of the State of Texas located in Travis County, and United States District Court for the Western District of Texas, Austin Division, and Parties submit to the exclusive, personal jurisdiction of such courts. |

| Applicable Law: | This Agreement shall be governed by and construed in accordance with the substantial laws in force in Munich, the Federal Republic of Germany. This Agreement shall not be governed by the United Nations Convention of Contracts for the International Sale of Goods, the application of which is hereby expressly excluded. |
| Dispute resolution venue: | The Parties shall submit any and all disputes, controversies or differences that in the opinion of a Party cannot be settled amicably, to the court of Munich, Germany, if Licensee is a merchant, a legal person under public law, or a special asset (Sondervermögen) under public law. |
